**AIplify Solutions Marketing Affiliate Program Agreement**

PLEASE READ THIS MARKETING AFFILIATE PROGRAM AGREEMENT CAREFULLY.

This is a contract between you (the “Affiliate”) and us, AIplify Solutions Inc. (“AIplify Solutions”). This contract describes how we will work together and other aspects of our business relationship. It is a legal document, so some of the language is necessarily “legalese,” but we have tried to make it as readable as possible.

This Marketing Affiliate Program Agreement applies to your participation in our Marketing Affiliate Program (the “Affiliate Program”), and we cannot have you participate in our Affiliate Program unless you agree to the terms.

We periodically update these terms. We might also choose to replace these terms in their entirety if, for example, the Affiliate Program changes, ends, or becomes part of an existing program, including our partner programs. If we update or replace the terms, we will notify you via electronic means, which may include notification via email or your Affiliate Program Dashboard. If you don’t agree to the update or replacement, you can choose to terminate as we describe below.

**DEFINITIONS**

In this Agreement:

• “Affiliate Program” means the program specified on our website and operated by us under the terms and conditions stipulated within this Agreement.
• “Agreement” means this Marketing Affiliate Program Agreement and all materials referred or linked to therein.
• “AIplify Solutions”, "We", "us", "our" means AIplify Solutions Inc.
• “End User” means our client or customer to whom AIplify Solutions delivers services.
• “Link” means the special affiliate link generated for the Affiliate to refer new End Users to AIplify Solutions.
• “AIplify Solutions Services” means services, tools, and features to integrate and automate various business processes offered for sale by us and specified in the then-current Product Descriptions.
• “Commission” means the percentage of eligible subscription fees paid to the Affiliate under this Agreement.
• “You” and “Affiliate” means the party, other than AIplify Solutions, entering into this Agreement and participating in the Affiliate Program.

**GENERAL RULES OF THE AFFILIATE PROGRAM**

• Affiliate Registration: You sign up to become an affiliate for AIplify Solutions.

• Promotion: Promote AIplify Solutions' automation services to businesses with the goal of connecting potential clients with an AIplify Solutions consultant, either remotely or in person.

• Commission: If the business you refer signs a one-year contract, you earn a commission. This is your reward for helping to put an AIplify Solutions consultant in front of a potential client.

Nothing in this Agreement shall be construed as creating the relationship of employer and employee, principal and agent/sales representative, franchisor and franchisee, joint venturers, or corporate partnership between the Parties. AIplify Solutions and Affiliate agree that this is not a “franchise” or equivalent agreement under applicable law, and Affiliate is not required to pay any “franchise fee” or other consideration for entering into this Agreement. Affiliate shall have no right or authority, whether express or implied, to assume or create, or purport to assume or create, any obligation in the name of or on behalf of AIplify Solutions.

The AIplify Solutions Services are the only products and/or services authorized to be promoted by Affiliate under this Agreement. Without incurring any liability to Affiliate, we may, in our sole discretion, add or remove any AIplify Solutions Services eligible to be promoted by Affiliate at any time.

AIplify Solutions reserves the right in its sole discretion to reject any End User attempting to utilize the Link.

**AFFILIATE’S OBLIGATIONS AND PERFORMANCE**

• Compliance: Affiliate has the sole responsibility for maintaining its various internet presences, ensuring compliance with this Agreement and all applicable laws and regulations.

• Privacy Policy: Affiliate shall post a privacy policy on its website, describing how consumer information is collected and used, and must comply with all applicable privacy laws.

• Prohibited Activities: Affiliate shall not engage in activities that could harm the image, credibility, or reputation of AIplify Solutions, including but not limited to spam mailing, misleading promotions, or misuse of AIplify Solutions' trademarks.

**COMMISSIONS AND PAYMENT**

• Commission Rate: Affiliate earns a commission equal to a percentage of eligible subscription fees. The specific percentage and eligible services will be outlined in your Affiliate Dashboard.

• Eligibility: Commission is only eligible for businesses that sign up for a one-year contract through the Link provided by the Affiliate.

• Payment Terms: Commission is paid via designated payment services once the criteria are met, such as a minimum threshold of commissions earned.

**TERM AND TERMINATION**

Either you or AIplify Solutions may end this Agreement at any time, with or without cause, by giving the other Party written notice. Upon termination, Affiliate shall immediately stop using the Link and delete it from all websites and other locations where the Link has been published.

**INDEMNITY**

Affiliate agrees to indemnify and hold harmless AIplify Solutions against any claims, actions, or demands arising from Affiliate’s breach of this Agreement or misuse of the Link.

**LIMITATION OF LIABILITY**

AIplify Solutions will not be liable to Affiliate for any indirect, incidental, consequential, special, or exemplary damages arising out of this Agreement.

**GOVERNING LAW AND JURISDICTION**

This Agreement shall be governed by the laws of the jurisdiction in which AIplify Solutions is headquartered, and any disputes shall be resolved in the courts of that jurisdiction.

**FINAL PROVISIONS**

This Agreement may not be modified except in writing signed by a duly authorized representative of each Party. Any provision found invalid or unenforceable shall not affect the other provisions of this Agreement.
